Motivz (“Motivz”, “we”, “us”, or “our”) operates the Motivz mobile application, website at themotivz.com, and related organizer tools (collectively, the “Services”). These Terms of Service (“Terms”) govern your access to and use of the Services as an attendee, organizer, venue partner, or other user.
By accessing or using Motivz, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we collect and use personal information and is incorporated by reference.
1. Eligibility
You must be at least 13 years old to use Motivz. If you are under the age of majority where you live, you may use the Services only with the consent of a parent or legal guardian who agrees to these Terms on your behalf.
If you use Motivz on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
2. Accounts and Security
You may need an account to use certain features. You are responsible for:
- Providing accurate account information
- Keeping your login credentials confidential
- All activity that occurs under your account, unless caused by a security breach beyond your reasonable control
Notify us promptly at support@themotivz.com if you suspect unauthorized access to your account.
3. The Services
Motivz helps people discover events, share experiences, connect with others, and (where available) purchase tickets. Organizers may create organization profiles, publish events, sell tickets, manage teams, and receive payouts through third-party payment processors.
We may modify, suspend, or discontinue features of the Services at any time. We do not guarantee that any particular event, organizer, venue, or listing will remain available.
4. Acceptable Use
You agree not to:
- Violate any applicable law, regulation, or third-party right
- Post content that is unlawful, harassing, hateful, defamatory, pornographic, or otherwise objectionable
- Impersonate others, misrepresent your affiliation, or create fake accounts
- Scrape, harvest, or collect user data without authorization
- Interfere with or disrupt the Services, including by introducing malware or attempting unauthorized access
- Use Motivz to spam, phish, or send unsolicited commercial messages outside features we expressly allow
- Circumvent ticketing limits, purchase restrictions, fraud controls, or access controls
- Resell tickets or access in violation of event rules or applicable law
We may remove content, restrict features, or suspend accounts that violate these Terms or create risk for users or Motivz.
5. User Content
You retain ownership of content you submit to Motivz, including photos, videos, captions, comments, reviews, and organization or event materials (“User Content”).
By submitting User Content, you grant Motivz a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and otherwise use that content as needed to operate, promote, and improve the Services. This license ends when you delete the content or your account, except for reasonable residual copies retained in backups or where retention is required by law.
You represent that you have all rights needed to submit your User Content and that it does not infringe others' rights. Motivz does not endorse User Content and is not responsible for it.
6. Tickets, Purchases, and Refunds
Some events offer tickets or paid access through Motivz. Payment processing is handled by Stripe or other processors we designate. Motivz does not store full payment card numbers.
When you buy a ticket, your purchase is generally a transaction between you and the event organizer. Motivz provides the platform and payment tooling but is not the organizer of the event unless we expressly say so.
Ticket prices, fees, availability, entry rules, and refund policies are set by the organizer (and may be shown at checkout). Unless required by law or stated otherwise at purchase, ticket sales are final. Contact the organizer first for event-specific refund or transfer requests; Motivz may assist where platform support is needed.
Motivz or its payment partners may cancel or reverse transactions that appear fraudulent, unauthorized, or in violation of these Terms.
7. Organizers and Venue Partners
If you create or manage an organization, sell tickets, or use organizer tools, you additionally agree that:
- Information you provide about your organization, events, and tickets is accurate and kept up to date
- You are solely responsible for your events, including descriptions, scheduling, venue access, safety, staffing, and compliance with local laws and permits
- You will honor valid tickets sold through Motivz for your events, subject to your published event rules and applicable law
- You will use attendee information only for legitimate event-management purposes and in compliance with privacy and anti-spam laws
- Payouts may require identity verification and a Stripe Connect (or similar) account; payout timing and eligibility depend on processor rules and fraud/risk checks
- Platform or payment fees disclosed in the Services may apply to ticket sales and payouts
Motivz may require acceptance of additional organizer or ticketing agreements before you can sell tickets or receive payouts.
8. Communications
By creating an account or signing up for event alerts, you agree that Motivz and (where you opt in) organizers may send you transactional and service-related messages, such as ticket confirmations, event reminders, and account notices. You can manage some preferences in the Services or by contacting support. Marketing messages, where offered, will include unsubscribe options as required by law.
9. Intellectual Property
The Services, including the Motivz name, logos, design, software, and documentation, are owned by Motivz or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you.
You may not copy, modify, reverse engineer, or create derivative works from the Services except as allowed by law or with our prior written consent.
10. Third-Party Services and Links
The Services may integrate with or link to third parties such as Stripe, Supabase, analytics providers, app stores, maps, and social platforms. Those services are governed by their own terms and privacy policies. Motivz is not responsible for third-party services and does not control their content or practices.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIVZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that event listings, organizer information, or recommendations are complete or accurate. Event quality, safety, and fulfillment are the responsibility of organizers and venues, not Motivz.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIVZ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MOTIVZ FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, the above limits apply only to the extent permitted.
13. Indemnification
You agree to defend, indemnify, and hold harmless Motivz and its affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your events (if you are an organizer), your misuse of the Services, or your violation of these Terms or applicable law.
14. Suspension and Termination
You may stop using the Services and delete your account at any time through the mobile application or by contacting support.
We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, fail required identity or payout verification, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will survive termination.
15. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page and, where appropriate, within the Services. The “Last Updated” date reflects the latest revision. Continued use of Motivz after changes take effect constitutes acceptance of the updated Terms, except where applicable law requires additional consent.
16. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, except where mandatory local consumer protections apply. Courts located in Ontario will have exclusive jurisdiction over disputes arising from these Terms, subject to applicable consumer rights that cannot be waived.
17. General
These Terms constitute the entire agreement between you and Motivz regarding the Services, and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
